General Terms

These terms set out the rules for using GrowthLmaxSense services and materials. By engaging our services you agree to comply with these terms and any specific agreements signed separately.

Eligibility

Services are available to organizations and authorized representatives who can enter into binding agreements under Singapore law. Individual access may be restricted based on service requirements.

Users must be of legal age to enter into contracts in their jurisdiction to use paid services.

You agree to use our services lawfully and not for activities that violate applicable regulations.

Certain services may be restricted in jurisdictions where export, import, or local regulatory rules prevent lawful use.

Account Responsibilities

When you create an account or engage our services, you are responsible for maintaining accurate information and safeguarding access credentials.

Keep contact and company details current; notify us of changes so we can provide uninterrupted service.

Take reasonable steps to protect account access. We implement standard security practices but expect customers to follow good security hygiene.

Accounts are non-transferable unless agreed in writing with GrowthLmaxSense.

If you suspect unauthorized access, notify us immediately so we can advise on containment steps.

We may suspend accounts that pose risks or violate these terms, with notice where feasible.

Service Scope

GrowthLmaxSense provides consultancy, playbooks, software integrations, and training to help organizations implement value-aware growth systems. Specific deliverables and timelines will be set in separate statements of work.

We may update services to improve effectiveness. Significant changes affecting contracted deliverables will be discussed and agreed with clients.

We aim for high availability of advisory services, though scheduled maintenance or force majeure events may affect access. We will communicate planned downtimes in advance.

Usage Rules

To ensure constructive use, clients agree to follow these usage rules when interacting with GrowthLmaxSense services and staff.

  • Use services for legitimate business purposes.
  • Provide accurate information and cooperate during diagnostics and experiments.
  • Respect intellectual property and confidentiality obligations.
  • Do not attempt to bypass access controls or interfere with service delivery.
  • Comply with applicable local laws and regulations.
  • Treat GrowthLmaxSense staff and contractors professionally.
  • Notify us promptly of material problems or disputes.

User Content

User Content includes any data, materials, or input you provide to GrowthLmaxSense in connection with our services.

You retain ownership of your data and content provided to us, subject to any rights you grant us to deliver services.

You grant GrowthLmaxSense a non-exclusive license to use your content solely to provide contracted services, analyze results, and deliver insights.

You are responsible for ensuring you have rights to share any third-party data and that content does not violate laws or third-party rights.

We will remove or stop using user content upon termination of services, subject to retention needs for compliance and agreed transition activities.

Intellectual Property

GrowthLmaxSense retains IP rights to methodologies, templates, software, and materials developed independently or for multiple clients. Custom work commissioned by a client will be treated as set out in the contract.

  • Do not reproduce proprietary materials without permission.
  • Do not reverse-engineer software delivered as part of services.
  • Respect third-party license terms included with deliverables.

Paid Services

Paid services include audits, workshops, implementation support, and recurring advisory retainers. Terms and fees are set in statements of work.

Pricing is quoted in the engagement letter or proposal. Additional expenses such as third-party software are billed as agreed.

Invoices are due as specified in the contract. Late payments may incur interest and interruption of services.

Subscription services, where offered, renew per the agreed billing cycle and may require notice to cancel before renewal.

Refunds, if any, are handled per the agreement and subject to the extent of services already delivered.

Either party may terminate per terms in the statement of work; termination may involve settlement for work performed to date.

Clients are responsible for applicable taxes unless otherwise indicated in the agreement.

We may adjust pricing for new contracts; existing agreements remain subject to their terms.

Non-payment may result in suspension of services and collection actions consistent with the contract.

Disclaimer

Advice and deliverables are provided for informational and operational support. Outcomes depend on many factors including client execution and market conditions. Our materials should be used alongside professional judgment.

Limitation of Liability

Except as required by law, GrowthLmaxSense's liability is limited to fees paid for the specific services giving rise to a claim. We are not liable for indirect or consequential losses arising from use of our recommendations.

Third-Party Services

We may recommend or integrate third-party tools. Use of these tools is subject to their respective terms and any additional costs are the client's responsibility.

Termination

Either party may terminate under the conditions specified in the engagement agreement. Termination processes, data return, and transition support will follow agreed procedures.

On termination, we will cease work and, where appropriate, assist in transferring materials back to the client as set out in the contract.

Privacy

We collect and process personal data necessary to deliver services and improve offerings. Data handling practices are documented separately in our privacy policy and implemented with appropriate safeguards.

Communications

By engaging our services you agree to receive communications about the engagement, updates, and optional service offers. You can opt out of marketing communications at any time.

Changes to Terms

We may update these terms to reflect legal or operational changes. Material changes will be communicated to affected clients with reasonable notice.

Governing Law

These terms are governed by the laws of Singapore and any disputes will be resolved in the appropriate Singapore jurisdiction unless otherwise agreed.

Dispute Resolution

Parties should attempt to resolve disputes amicably through negotiation. If unresolved, disputes may proceed to mediation or the courts as outlined in the contract.
